The Kinmount Agricultural Society (KAS) will hold its Annual Meeting at 7:00 p.m. on Friday, January 23rd. 2025, at the Galway Hall – 388 Galway Rd, Trent Lakes.

All are welcome to attend this meeting. Members of the KAS may vote.
The agenda includes a motion to adopt new governing documents – i.e. constitution, articles, and by-laws – which are attached here. These changes require a special resolution of the members, with a 2/3 supermajority vote in favour to pass. A draft of the resolution and the current 2006-era KAS constitution are attached below as well.
Agenda:
- Adoption of agenda
- The minutes of the previous annual meeting shall be received.
- The President shall on behalf of the board present a report on the activities and accomplishments of the Society since the previous Annual General Meeting.
- The Treasurer shall present on behalf of the board a detailed financial statement.
- An independent electing officer shall be appointed to record the votes.
- The secretary shall provide a current list of those members eligible to vote.
- The Directors shall be elected.
- Auditors or financial reviewers shall be appointed.
- Motion to adopt new governing documents:
WHEREAS the Board of Directors has approved new governing documents and recommended their confirmation by the members;
NOW THEREFORE, BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:
- The Constitution, Articles of Amendment, and By-Laws presented to the members are confirmed, ratified, and adopted.
- Upon their coming into force, all prior constitutions, articles, by-laws, and amendments are repealed.
- All actions previously taken by the Board or officers in preparation for the New Governing Documents are ratified and approved.
